Introduction

This Terms of Service ("ToS") is a legally binding agreement between you ("User," "You," or "Customer") and AppLiger Sp. z o. o. ("AppLiger," "We," "Us," or "Our"), a company registered in Poland with its registered seat at Dietla 93/7 Street, 31-031, Kraków, Poland. AppLiger is an Atlassian Marketplace Partner that develops and sells Cloud and Data Center apps for use with Atlassian products.

By accessing or using our products, services, websites, or support channels (collectively, "Services"), you agree to be bound by this ToS. If you do not agree to these terms, you must not use our Services.

Definitions

  • “Services”: Refers to all products, software, and support provided by AppLiger, including add-ons, plug-ins, and associated software tools.

  • “User”: Refers to any person, company, or legal entity that installs, accesses, or uses our Services.

  • “Marketplace Products”: Software applications, add-ons, integrations, and tools offered by AppLiger via the Atlassian Marketplace.

  • “Partner Platform”: Third-party platforms through which AppLiger distributes its Services, including Atlassian Marketplace.

  • “Subscription License”: A license granting access to Services for a defined subscription term.

  • “Evaluation License”: A time-limited license for evaluation purposes.

Acceptance of the Terms

By installing, accessing, or using our Marketplace Products, you acknowledge that you have read, understood, and agree to this ToS, as well as the End User License Agreement (“EULA”), Service Level Agreement (“SLA”), and Privacy Policy. If you do not have the authority to bind your organization to these terms, you may not use the Services.

If you purchase or access Marketplace Products via the Atlassian Marketplace, Atlassian’s Marketplace Terms of Use will also apply. If there is a conflict between the Atlassian Marketplace Terms of Use and this ToS, the Atlassian Terms will prevail with respect to your purchase and access to our Marketplace Products.

License and Use of Marketplace Products

The use of our Marketplace Products is governed by the EULA. You are granted a limited, non-exclusive, non-transferable license to use the Marketplace Products as specified in the EULA.

User Restrictions

You may not:

  • Decompile, reverse-engineer, disassemble, or otherwise attempt to derive source code from the Marketplace Products.

  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

  • Distribute, sublicense, or otherwise transfer your license to third parties without prior written permission from AppLiger.

Payment and Pricing

All payments for our Marketplace Products are processed through the Atlassian Marketplace. Pricing, billing, and invoicing are subject to Atlassian’s terms and conditions. You agree to comply with all payment obligations, including timely payment of fees as required by Atlassian.

We reserve the right to change pricing for any Marketplace Product. Pricing changes will be communicated through Atlassian Marketplace or via direct communication.

Support and Service Levels

Privacy and Data Protection

Your privacy is important to us. For detailed information on how we collect, process, and store personal data, please refer to our Privacy Policy. For more information about our security commitment and compliance please refer to our trust portal: https://trust.appliger.com.

Intellectual Property

AppLiger retains all intellectual property rights to the Marketplace Products and any related documentation. This includes copyrights, trademarks, and other proprietary rights.

Users are granted a license to use our Marketplace Products as described in the EULA, but ownership of the software, source code, and related intellectual property remains with AppLiger.

Duration and Termination

  • Subscription License: The subscription term for each Marketplace Product is monthly or annual, as indicated during checkout on the Atlassian Marketplace. Subscription renewals are automatic unless canceled prior to the renewal date.

  • Evaluation License: You may access an evaluation license for up to 30 days, unless otherwise stated, after which you will be required to purchase a subscription.

  • Free License: Free licenses may be revoked at any time by AppLiger.

  • Termination for Breach: We may suspend or terminate your use of the Services if you breach any material terms of this ToS. Upon termination, your rights to use the Services will cease immediately.

Limitation of Liability

To the maximum extent permitted by law, AppLiger disclaims all warranties, express or implied, regarding the Services and Marketplace Products. Our products are provided "as is" without warranty of any kind.

AppLiger will not be liable for indirect, incidental, consequential, or special damages, including but not limited to lost profits, loss of data, or business interruptions. Our total liability is limited to the amount paid for the Services in the 12 months preceding the claim.

Confidentiality

Both parties agree to treat confidential information received from each other with the same degree of care as they would their own. Confidential information includes technical information, business plans, and other proprietary materials that are not public knowledge. This clause survives termination of the agreement.

Indemnification

You agree to indemnify, defend, and hold harmless AppLiger, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees and legal costs) arising out of or related to:

  1. Your use or misuse of the Marketplace Products or Services.

  2. Your breach of this ToS or any applicable law or regulation.

  3. Any third-party claim alleging that data or content you provided infringes intellectual property rights, violates privacy rights, or breaches applicable law.

AppLiger reserves the right to assume exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with AppLiger in such defense. You may not settle any claim without AppLiger's prior written consent unless the settlement fully and unconditionally releases AppLiger and does not impose additional obligations on AppLiger.

Force Majeure

AppLiger is not responsible for delays or failures caused by events beyond its control, including natural disasters, strikes, war, cyberattacks, or government restrictions.

Publicity Rights

You agree that AppLiger may identify you as a customer and use your logo on our website or marketing materials. If you wish to opt-out of this, please notify us in writing at contact@appliger.com.

Changes to this ToS

We reserve the right to update or change this ToS at any time. Any changes will be communicated via our website or through the Atlassian Marketplace. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated ToS.

Governing Law and Dispute Resolution

This ToS is governed by and construed under the laws of Poland. Any disputes arising from or related to this ToS will be subject to the exclusive jurisdiction of the courts located in Kraków, Poland.

Entire Agreement

This ToS, along with the EULA, Privacy Policy, and SLA, constitutes the entire agreement.
